Joint Filing under Turkish Merger Control Regime

In Turkey, the creation of a joint venture must be notified to the Turkish Competition Authority (Authority), and the responsibility for filing lies with the parties involved in the transaction.

In terms of joint venture establishments, under Turkish merger control regime, there is no duty to make a joint filing and/or indicate each of the control acquiring parties as a notifying party. To that end, the ultimate control acquirer parties could opt for a sole notifying party or a joint notification.

However, it must be noted that the volume of information/documents required for the purposes of the Turkish merger control filing and the identity of the notifying party(ies) are independent from each other. Irrespective of the identity(ies) of the notifying party(ies), the uniformed notification form should be completed by way of utilizing the data that related to all the parties and thereby facilitating the Authority’s review period with all of the parameters needed.
